By accessing or using the Competing Offer Technologies, Inc. service ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. Competing Offer Technologies, Inc. ("we", "our", "us", "CompetingOffer.ai") is excited to help support our customers growth and business sustainability.

If you do not agree to these Terms, please do not use the Service.



2. Description of Service

CompetingOffer.ai provides a platform that monitors your authorized email account to detect purchase activity, identifies potential competing vendors, sources competitive bids, and advises you on achieving optimal vendor pricing.

The Service may also involve the use of third-party AI technologies to assist in sourcing and evaluating vendor bids.



3. Eligibility

You must be at least 18 years old and legally able to enter into binding contracts to use the Service.

By using the Service, you represent and warrant that you meet these eligibility requirements.



4. User Authorization

By using CompetingOffer.ai, you expressly authorize us to:

  • Access your email metadata solely for the purposes of detecting vendor-related purchase activity.

  • Use third-party AI vendors (such as OpenAI and Anthropic) to assist in processing this information as described in our Privacy Policy.

You may revoke this authorization at any time by adjusting your Google account settings.


5. User Responsibilities

You agree that you will:

  • Provide accurate information when creating or updating your account.

  • Use the Service only for lawful purposes.

  • Not attempt to reverse-engineer, decompile, or otherwise tamper with the Service.

You are solely responsible for maintaining the confidentiality of your account credentials.



6. Third-Party Services

CompetingOffer.ai integrates with third-party services, including but not limited to:

  • Google Gmail APIs

  • OpenAI APIs

  • Anthropic APIs

We are not responsible for the practices or content of these third parties. Your use of their services is subject to their respective terms and policies.



7. Intellectual Property

All intellectual property related to the CompetingOffer.ai Service, including software, branding, logos, and content, is owned by CompetingOffer.ai or its licensors.

You may not use, copy, or distribute any part of the Service without our prior written permission.



8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not guarantee that use of the Service will result in any specific savings or financial outcomes.



9. Limitation of Liability

To the fullest extent permitted by law, CompetingOffer.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of your use or inability to use the Service.

Our total liability for any claims under these Terms is limited to the amount you paid us, if any, to use the Service.



10. Indemnification

You agree to indemnify and hold harmless CompetingOffer.ai and its affiliates from any claims, liabilities, damages, or expenses arising from your use of the Service or violation of these Terms.




11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, if we believe you have violated these Terms.

You may terminate your use of the Service at any time by ceasing use and revoking email access.



12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.



13. Changes to Terms

We may update these Terms at any time. Updated Terms will be effective upon posting. Your continued use of the Service after changes become effective constitutes your agreement to the new Terms.



14. Data Usage and Retention

We will retain access to your email metadata only for as long as necessary to deliver the Service. Upon revocation of access or termination of your use of the Service, we will delete any stored data associated with your account within a commercially reasonable timeframe, except as required by law.



15. Vendor Communications on User’s Behalf

By using the Service, you authorize CompetingOffer.ai to communicate with vendors on your behalf for the purpose of collecting bids or pricing proposals. You understand that these communications may include anonymized details about your purchase needs but will not identify you directly unless you choose to share that information.



16. AI-Generated Recommendations

These recommendations are intended for informational purposes only. You acknowledge that any purchasing decisions you make are solely your responsibility, and CompetingOffer.ai is not liable for decisions made based on AI-generated suggestions..



17. Beta Features

Some features of the Service may be made available in a beta or preview state. These features are provided “as is” and may be modified or discontinued at any time without notice. You use such features at your own risk.
